General Sales Terms and Conditions

Entire Agreement

These Terms and Conditions of Sale establish the rights, obligations, and remedies of CorroGo China Ltd. (“Seller”/“CorroGo”) and Buyer, form the entire agreement between Seller and Buyer, and apply to all transactions between Seller and Buyer unless otherwise specifically agreed to in writing by both parties. All prior oral or written agreements, including but not limited to terms in Buyer’s purchase order, which are different from or in addition to these Terms and Conditions of Sale are not binding on Seller unless accepted in writing by Seller’s duly authorized representative.

Product Information

Product depiction in the catalogs and websites are for illustrative purpose only. Possession of or access to any CorroGo catalog, literature or websites does not constitute the right to purchase products. CorroGo retains the right to alter publishing errors in its catalogs, literature and websites.

CorroGo has made every effort to ensure the product depiction contained in its’ catalogs, literature and websites is correct and accurate, but occasional errors may occur. CorroGo retains the right to cancel any and all orders resulting from such product errors, even if customer has received an order confirmation from CorroGo.

Products may be substituted and may not be identical to catalog, literature or website published depiction and/or images.

Price

We stay in touch with market closely and keep updating prices for all items listed on our website, but occasional errors and delayed updates of pricing may occur, CorroGo retains the right to change prices or cancel any and all orders resulting from such pricing issues, even if customer has received an order confirmation from CorroGo.

All prices listed in this website are based on ex-works a CorroGo warehouse or designated location in China and are subject to change or correction without prior notice. All taxes, transportation costs, duties and other charges are in addition to quoted prices. Market sensitive commodity products will be priced as per most current market conditions.

Payment Terms

Buyer shall pay for the goods as mentioned by the CorroGo. In the event of a late payment, CorroGo is entitled to treat Buyer’s entire account(s) as immediately due and payable without notice or demand. All past due amounts will be subject to a service charge. Buyer shall not be allowed to retain or holdback payment and Buyer’s payment obligations are not contingent on any event other than CorroGO’s performance. Buyer’s receipt of payment or funds from any third party shall in no way relieve Buyer’s obligations to pay CorroGO. Buyer is not entitled to set-off any amounts due to CorroGo by any amount due by CorroGo to Buyer in connection with any transaction governed by these Terms and Conditions of Sale. Buyer’s credit application to CorroGo is hereby incorporated by reference.

If Buyer fails to make payment per mentioned term and within the timeline, or fails to supply adequate assurance of full performance to CorroGo within a reasonable time after requested by CorroGo, CorroGo retains the right to charge Buyer a late payment fee at the amount as it may be permitted under applicable law, and/or may, at its option, cancel all or any part of an unshipped order without any refund.

Accept or Reject Order

CorroGo retains the right, with or without prior notice, to do any one or more of the following: 1. limit the quantity available for purchase per order and/or the number of individual orders that may be placed per customer per day; 2. discontinue any product or services; 3. impose conditions on the honoring of any coupon, coupon code, promotional code, or other similar promotion; 4. bar any user from making or completing any or all transactions; and 5. refuse to provide any user with any product or service.

Shipment & Delivery

All orders are shipped F.O.B. Risk of loss will transfer to buyer upon tender of goods to buyer, buyer’s representative or common carrier. The cost of any special packaging or handling caused by buyer’s requirements or requests will be added to the amount of buyer’s order. If buyer causes or requests a delay of shipment, or if seller ships or delivers an order erroneously as a result of inaccurate, incomplete, or misleading information supplied by buyer or buyer’s agent or employees, all storage and other additional costs and risk will be borne by buyer.

Seller will make a good faith effort to deliver goods in accordance with Buyer’s schedule. Seller assumes no responsibility or liability for Seller’s non-performance caused by an act of God, war, labor disputes, civil unrest, accidents, pandemics, the inability to obtain materials, delays of carriers, contractors or suppliers or any force majeure event, or any other causes beyond Seller’s control.

Inspection & Acceptance

Buyer shall examine all goods upon receipt and prior to using or installation. All claims for damage, shortage, and errors in shipment or improper delivery must be made to Seller in writing within two (2) business days of delivery, after which date the Buyer will be deemed to have accepted the goods and will have no right to reject the goods or to revoke acceptance. Buyer must make any claims for billing errors or adjustments to Seller in writing within ten (10) business days from the invoice date. Claims not received in writing within such period of time will be waived by Buyer.

Cancellation & Returns

Order can be cancelled before dispatch and/or CorroGo proceeding production order, it depends on the product you’ve ordered specifically. You need to contact CorroGo team ASAP and reach agreements on order cancellation for refund or a full credit. Certain restrictions may apply.

In most cases CorroGo doesn’t accept return of any product purchased, because many of our products are custom made not allowing re-sale, also shipping back internationally and import are costly, difficult or even impossible. No matter you purchased a product erroneously, or are encountering product defects in workmanship or materials, you can contact CorroGo team who will be truly caring and fairly determining.

CorroGo retain the right to refuse or limit any cancellations and returns in CorroGo’s sole judgment, appear to be fraudulent, abusive, in violation of this policy, or otherwise inappropriate.

Limitation of Liability

IN NO EVENT SHALL SELLER BE LIABLE FOR SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, STATUTORY, LIQUIDATED, OR INDIRECT DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, REVENUES, CAPITAL, BUSINESS OPPORTUNITY OR DOWNTIME COSTS, ARISING OUT OF THE SALE OF GOODS TO BUYER. This limitation shall apply regardless if the claimed damages arise from breach of contract, breach of warranty, tort, strict liability, or any other legal theory.
